This website and all services offered are operated by Aspyre Digital LLC. Throughout the site, the terms “we,” “us,” and “our” refer to Aspyre Digital LLC. We offer our services—including website design, development, hosting, and maintenance—exclusively through a subscription model. By engaging with our services, you, the “Client,” agree to be bound by the following Terms of Service (“Terms”), along with any additional policies referenced herein or linked via our website.

By subscribing to or using our services, you agree to these Terms. If you do not agree with any part of these Terms, you may not access or use our services. Any new features, updates, or tools added to our offerings will also be subject to these Terms. We reserve the right to update or revise these Terms at any time by posting changes on our website. It is your responsibility to review this page periodically. Continued use of our services following any changes constitutes your acceptance of those updates.

Our platform is hosted and supported by secure third-party infrastructure to enable high-performance delivery of the services described above.

Service Model and Subscription

Aspyre Digital LLC operates on a subscription basis. Clients pay a recurring fee—monthly or annually depending on their plan—for continued access to the websites and services we create and maintain. Subscription fees cover the license to use the work we produce, as well as any associated hosting, maintenance, updates, and support.

Your subscription must remain active for you to continue using any website, assets, or services delivered by Aspyre Digital LLC. Failure to pay, early termination, or cancellation of services results in immediate revocation of your access and right to use any part of the website or digital assets we created.

Ownership and Intellectual Property

All websites, designs, code, content, visuals, structure, and underlying frameworks produced by Aspyre Digital LLC remain the exclusive property of Aspyre Digital LLC. Clients are granted a non-transferable, revocable license to use the assets we create only while subscribed to our services.

Payment of a subscription fee does not imply or result in ownership of the final product. Ownership rights are not transferred automatically. The only scenario in which ownership of a website or its components will be transferred to a client is through a separate, mutual written agreement, which must include our express consent and, in most cases, a one-time transfer fee.

Clients who discontinue their subscription or default on payment are prohibited from continuing to use, repurpose, copy, clone, or duplicate any aspect of the website or creative work originally produced by Aspyre Digital LLC. Any such unauthorized usage is a violation of these Terms and will be treated as copyright infringement under applicable law.

Termination of Service and Use of Assets

Clients may cancel their subscription at any time. However, termination revokes your access and legal right to the services and materials associated with your account. Upon cancellation, your website will be taken offline, and your limited license to use any content, design, or code produced by us will end immediately.

We reserve the right to pursue legal action or recover damages from any former client who continues to use our intellectual property after cancellation or termination without explicit transfer of rights.

Service Conditions

You agree not to misuse our services, duplicate our work, or reverse-engineer any material we’ve created. You may not use our products or services for any illegal or unauthorized purpose, nor may you, in the use of the Service, violate any laws in your jurisdiction. We reserve the right to refuse service or terminate access at our discretion, especially in the case of abuse, nonpayment, or infringement of these Terms.

Limitation of Liability

Aspyre Digital LLC does not guarantee uninterrupted, secure, or error-free service. Our services are provided "as is" and "as available." To the maximum extent permitted by law, we shall not be liable for any direct, indirect, incidental, punitive, or consequential damages arising from your use of our services, including but not limited to any website downtime, data loss, or damages arising from third-party software or platforms.

Indemnification

You agree to indemnify and hold harmless Aspyre Digital LLC, its officers, employees, contractors, and affiliates from any claims, liabilities, or expenses (including legal fees) arising from your breach of these Terms or misuse of our services.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes arising under these Terms or your use of our services shall be resolved in the state or federal courts located in Miami-Dade County, Florida.

Entire Agreement

These Terms constitute the full agreement between you and Aspyre Digital LLC concerning the use of our services. Any failure by us to enforce a provision of these Terms does not waive our right to do so in the future.
